Corporation Filings

Corporation filings apply to Companies that have been Incorporated (filed Articles of Incorporation) and want to file additional documents relevant to this Company.

Ontario Initial Return/Notice of Change (Form 1)

Pursuant to Corporations Information Act, an Initial Return/Notice of Change (Form 1) type of Corporation Filings must be completed and filed within 60 days of the date of Incorporation, Amalgamation or Continuation or 15 days from the date of change to the corporate record.

In general, Initial Return/Notice of Change (Form 1) filings are used to:

  • Appoint/elect and cease directors/officers of the corporation.
  • Outline or change registered and mailing office address information.
  • File as an Initial Return following an Application for Extra-Provincial

Online Filing Process for Initial Return/Notice of Change Corporate Filings

  • Complete the Initial Return/Notice of Change type of Corporation Filing online, review your draft and submit
  • Data Extracts are available which will pull the existing corporate information which can be changed accordingly before filing
  • Government Disbursement: $8.00 – If a data extract (current Corporation information on file with MGS) is obtained
  • Filing confirmation – stating the date/time filed is available online and via email within minutes of submission
  • Changes are effective immediately after filing.

Initial Return/Notice of Change (Form 1) corporate filings may also be filed manually. A confirmation that the filing was completed will be provided, however changes are not effective until approximately 25 business days after the Ministry of Government Services, CPVSB office has received the filing.

Ontario Extra-Provincial (EP) Registration

Initial Return/Notice of Change (Form 2)

Get it in up to 48 hours!

A Corporation that is Incorporated or Continued federally or within another Province in Canada must complete and file an Initial Return/Notice of Change (Form 2) within 60 days of commencing business activity in Ontario or 15 days from the date of change to information previously filed.

Notice of Change by an Extra Provincial Corporation (Form 2) filings are used to:

  • Register the Corporation in Ontario if the home jurisdiction is outside Ontario, but within Canada and obtain an Ontario Corporation Number (OCN)
  • Establish the Companies registered /head office and principal office address in Ontario
  • Establish or change Person(s)/Companies that represent the Corporation in Ontario (Chief Officer/Manager or Agent for Service)
  • File any changes of the previously file information relating to the Corporation’s name or Jurisdiction
  • Cease operations in Ontario
  • File an Initial Return following an Application for Extra-Provincial License being issued to a Foreign Corporation

Extra-Provincial Registrations can only be filed manually.

Manual Process for EP Initial Return/Notice of Change (Form 2) Corporate Filings

  • Complete the Initial Return/Notice of Change (Form 2) and provide to ESC with a copy of the Certificate of Incorporation or Equivalent (originals not required)
  • ESC will file the form at the counter at Central Production and Verification Services Branch (CPVSB)
  • Confirmation that the form was filed is provided and available online and via email
  • Expedited turnaround is 48 hours to be assigned an Ontario Corporate Number or for the change to be effective

If the Corporation is incorporated or registered outside of Canada an application has to be made for an Extra-Provincial Licence.

Ontario Annual Return Filings

(Ontario and EP Foreign Corporations)

All Ontario Corporations and Foreign corporations with a license in Ontario under the Extra-Provincial Corporations Act are required to file an Annual Return yearly. Annual Return Filings are a mandatory filing requirement that helps to ensure the corporation’s information is up to date on the corporate Public Record. ESC services for Annual Return filings are relative to the Ministry of Government Services (MGS) record and do not include CRA filing information.

Online Filing Process for Annual Return type of Corporation Filing:

  • Complete the Ontario Annual Return type of Corporation Filing online, review your draft and submit
  • Data Extracts are available which will pull the existing corporation information which can be changed as needed before filing
  • Government Disbursement: $8.00 – If a data extract (current Corporation information on file with MGS) is obtained
  • Filing confirmation stating the date/time filed is available online and via email within minutes of submission
  • Changes are effective immediately after filing

Federal Annual Return (Form 22)

Under the Canada Business Corporations Act (CBCA), Annual Return (Form 22) must be filed within 60 days following the corporation’s anniversary date yearly. The anniversary date is the date the Corporation came into existence under the CBCA.

Annual Filings are used to:

  • Appoint/elect and cease directors/officers of the corporation
  • Outline or change registered and mailing office address information

Online Filing Process for Annual Return (Form 22) Filing

  • Complete the filing online, review your draft and submit
  • Data Extracts are available which will pull the existing corporate information which can be changed accordingly before filing
  • Government Disbursement: $20.00
  • Filing confirmation – stating the date/time filed is available online and via email within 24 hours of submission
  • Changes are effective upon receipt by Corporations Canada

Annual Return’s and Annual Summary Filings (For Non-Profit Corporations) can also be filed manually.

Change of Registered Office Address (Form 3)

Under Canada Business Corporations Act (CBCA), Change of Registered Office Address (Form 3) must be completed and filed within 15 days of any change to the registered office address.

  • Send completed Change of Registered Office Address form to ESC, original not required
  • Filed with Corporations Canada online
  • Confirmation that the form was filed is provided and available online and via email
  • Changes are effective within approximately 24 hours from submission

Changes Regarding Directors (Form 6)

Under Canada Business Corporations Act (CBCA), Changes Regarding Directors (Form 6) must be completed and filed within 15 days of any change involving a director of the Corporation.

  • Send completed Changes Regarding Directors form to ESC, original not required
  • Filed with Corporations Canada online
  • Confirmation that the form was filed is provided and available online and via email
  • Changes are effective within approximately 24 hours from submission

Under Canada Business Corporations Act (CBCA), Annual Summary (Form 3) must be filed on or before the first day of June each year by Non-profit corporation’s subject to Annual Summary filings.

  • Send completed Annual Summary to ESC, original not required
  • Filed with Corporations Canada online
  • Confirmation that the form was filed is provided and available online and via email
  • Changes are effective within approximately 2 – 3 weeks from receipt by Corporations Canada
